NIGERIA: JOHNVENTS INDUSTRIES LIMITED (“Johnvents” or the “Issuer”) Opened Series 25-27 Commercial Paper Issuance Worth Up to ₦30 Billion- Closes on the 4th of August.

Johnvents Industries Limited has commenced its Series 25,26 and 27 Commercial Paper (CP) issuance, aiming to raise up to ₦30 billion under its ₦100 billion Commercial Paper Issuance Programme. This issuance presents a unique opportunity for investors looking to participate in Nigeria’s growing financial market. 

Johnvents Industries Limited is a fully Nigerian-owned agribusiness company engaged in the processing, manufacturing, export, and distribution of agricultural commodities and consumer products. As an established participant in Nigeria’s capital markets, Johnvents intends to utilize the proceeds of this issuance to support its working capital requirements, particularly the bulk purchase of cocoa inventory as the Light Crop Harvest season concludes and preparations for the Main Crop season commence.

Established in 2016, Johnvents began operations as a crop aggregation business and has since evolved into one of Nigeria’s leading integrated agro-industrial companies. The Company operates processing facilities in Ondo and Kano States, with flagship cocoa processing plants in Akure and Ile-Oluji boasting a combined installed capacity of 48,000 metric tonnes per annum. Its products are exported to Europe, South Africa, and Asia, while the Company also serves leading local FMCG manufacturers. Through the Johnvents Foods brand, the Company additionally offers a growing portfolio of consumer products.

In 2022, Johnvents reorganized its operations into six strategic business divisions to enhance efficiency across its value chain. The Company has also expanded its international footprint, establishing trading offices in the United Arab Emirates and Uganda, while entering the Senegalese and Gambian markets through its premium rice offerings. These initiatives have strengthened its global presence and increased foreign exchange earnings. 

The current offer, which opened on Tuesday 28th of July, 2026 is expected to close on Tuesday, August 4, 2026. 

Further reinforcing its growth strategy, Johnvents is advancing its backward integration initiatives and expanding processing capacity with support from leading international development finance institutions, including the Dutch Fund for Climate and Development (€475,000), British International Investment (US$40.5 million), and the International Finance Corporation (US$23.3 million). Johnvents currently holds investment-grade national scale ratings of BBB+ from both Agusto & Co. and GCR Ratings, reflecting its strong liquidity profile, profitability, and operational performance.

Since inception, the company has raised over ₦160 billion across 24 successful Commercial Paper series, of which ₦100 billion has been fully repaid, while the remaining balance is still within its scheduled repayment period and not yet due. The Company has demonstrated remarkable financial growth over the last five years. Between FY2021 and FY2025, revenue increased from ₦6.32 billion to ₦250.93 billion, representing a compound annual growth rate (CAGR) of approximately 158%. Profit after tax grew from ₦2.50 billion to ₦20.64 billion, while total assets expanded significantly from ₦12.77 billion to ₦403.52 billion. Total equity also increased from ₦10.33 billion to ₦154.21 billion, highlighting the Company’s strong capital base and financial resilience. Notably, exports account for over 70% of total turnover, providing a natural foreign exchange hedge and mitigating the impact of naira depreciation.
